Terms of Service

Effective August 6, 2026

These Terms of Service (“Terms”) are a legal agreement between you and It's Kyla Not Kayla LLC, doing business as Knotch (“Knotch,” “Company,” “we,” “our,” or “us”).

These Terms govern your access to and use of the Knotch website, web application, mobile application, artificial-intelligence features, shopping tools, content, and related products and services collectively referred to as the “Services.”

Please read these Terms carefully. By creating an account, clicking to accept these Terms, purchasing a subscription, or otherwise using the Services, you agree to be bound by them and by our Privacy Policy.

If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use Knotch.

By using the Services, you represent that:

  • You are at least 18 years old;
  • The information you provide is accurate and current;
  • You have the authority to agree to these Terms; and
  • Your use of Knotch will comply with applicable laws.

Knotch is not intended for children. Although federal children's privacy law specifically regulates certain collection of information from children under 13, Knotch may establish a higher minimum age for its own Services.

2. About Knotch

Knotch is a personal styling and shopping technology platform. Depending on the features available to you, the Services may allow you to:

  • Upload and organize outfit or clothing images;
  • Create a digital closet;
  • Receive Knotch Scores™ and outfit feedback;
  • Receive styling, wardrobe, and shopping recommendations;
  • Identify possible wardrobe gaps;
  • Search products offered by third-party retailers;
  • Save outfits, products, preferences, and inspiration;
  • Interact with AI-powered styling features;
  • Share certain content or results; and
  • Access paid subscriptions or premium features.

Features may change as Knotch evolves. We may add, modify, suspend, or discontinue any portion of the Services as permitted by law.

3. Accounts and Account Security

Certain features require an account.

You agree to:

  • Provide accurate and complete registration information;
  • Keep your information updated;
  • Maintain the confidentiality of your login credentials;
  • Notify us promptly of suspected unauthorized access; and
  • Accept responsibility for activity conducted through your account, except where prohibited by law.

You may not impersonate another person, create an account using another person's information without authorization, sell or transfer your account, or use an account for unlawful purposes.

We may require identity, email, or age verification where reasonably necessary.

4. Personal Style Information

Knotch may ask you to provide information such as:

  • Style preferences;
  • Clothing sizes;
  • Body measurements;
  • Body type;
  • Color season;
  • Budget or price preferences;
  • Shopping habits;
  • Occasion needs;
  • Closet contents; and
  • Brand or retailer preferences.

You choose what information to provide unless a particular field is required to operate a feature.

Styling recommendations depend heavily on the accuracy, completeness, lighting, image quality, product information, and context you provide. Results may be less useful when information is incomplete or inaccurate.

5. AI-Powered Features

Knotch may use artificial intelligence, machine learning, computer vision, automated scoring systems, and other computational tools to analyze information and generate content.

AI-powered features may provide:

  • Knotch Scores;
  • Outfit observations;
  • Color and texture feedback;
  • Proportion guidance;
  • Clothing recognition;
  • Wardrobe-gap analysis;
  • Product matches;
  • Outfit recommendations;
  • Search results; and
  • Conversational styling guidance.

AI limitations

AI-generated results may be inaccurate, incomplete, inconsistent, subjective, or inappropriate for a particular user, event, workplace, culture, climate, body, product, or circumstance.

Knotch does not guarantee that:

  • An AI-generated score is objectively correct;
  • A recommended product will fit;
  • A color will appear the same in person;
  • A garment will flatter you;
  • A product will remain available;
  • A recommendation will meet a dress code;
  • Product descriptions or retailer data will be accurate; or
  • Different users or images will receive consistent outcomes.

You are responsible for reviewing recommendations and exercising your own judgment before relying on them.

No professional advice

Knotch provides personal styling information for educational, informational, entertainment, and shopping-assistance purposes. The Services do not provide medical, psychological, legal, financial, employment, or other regulated professional advice.

Comments about body shape, proportions, appearance, fit, or color are styling observations—not medical assessments or statements about your health or worth.

6. Knotch Scores and Styling Opinions

A Knotch Score™ is a proprietary styling assessment that may consider factors such as:

  1. Color and texture;
  2. Body-flattering considerations;
  3. Proportion and the rule of thirds;
  4. Third pieces and accessorizing; and
  5. Occasion match.

Style is personal and partly subjective. A Knotch Score reflects the platform's methodology and available inputs; it is not a universal judgment of attractiveness, value, professionalism, identity, or personal worth.

Scores may change as:

  • You provide more information;
  • An image is reanalyzed;
  • Our scoring methodology evolves;
  • AI systems are updated; or
  • Product features change.

You may not represent a Knotch Score as an official certification, expert appraisal, employment qualification, or guarantee of social, personal, or commercial outcomes.

7. User Content

“User Content” means photos, images, text, closet entries, outfit information, feedback, messages, reviews, preferences, and other materials you submit through the Services.

Ownership

As between you and Knotch, you retain ownership of your original User Content.

License to Knotch

You grant It's Kyla Not Kayla LLC a nonexclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, format, display, transmit, process, analyze, and otherwise use your User Content as reasonably necessary to:

  • Operate and provide the Services;
  • Generate requested scores and recommendations;
  • Maintain and secure your account;
  • Troubleshoot and provide support;
  • Prevent abuse or fraud;
  • Improve product functionality; and
  • Comply with legal obligations.

This license lasts for as long as your User Content is stored within the Services, subject to our Privacy Policy, data-retention practices, and applicable law.

Promotional use requires additional permission

Unless a separate notice or permission says otherwise, Knotch will not use your identifiable outfit photos, name, likeness, or private closet content in public advertising merely because you uploaded them to the Services.

When you intentionally use a public-sharing feature, you authorize Knotch to display and transmit the content according to the settings and functionality you select.

Your responsibilities

You represent that:

  • You own your User Content or have permission to submit it;
  • Your submission does not violate another person's privacy, publicity, copyright, trademark, or other rights;
  • Your content is not unlawful, fraudulent, abusive, or harmful; and
  • Any person visibly featured in content has consented to the upload and intended use.

Do not upload private, intimate, or sensitive images of another person without their express permission.

8. Feedback

You may provide suggestions, ideas, feature requests, comments, or other feedback about Knotch.

You grant us permission to use feedback without restriction or compensation, provided we do not publicly identify you as its source without permission.

Feedback does not include your private outfit images or personal information, which remain governed by the Privacy Policy and the User Content provisions above.

9. Acceptable Use

You may not use Knotch to:

  • Violate any law or another person's rights;
  • Harass, threaten, exploit, shame, discriminate against, or impersonate another person;
  • Upload stolen, intimate, defamatory, or unlawfully obtained content;
  • Sexualize or exploit minors;
  • Attempt to identify, profile, or track another person without authorization;
  • Scrape, harvest, download, or systematically collect platform or product data;
  • Reverse engineer, decompile, copy, or discover source code or proprietary systems, except where applicable law expressly permits it;
  • Circumvent access controls, usage limits, or security measures;
  • Introduce malware, automated attacks, or harmful code;
  • Use bots or automated systems without written authorization;
  • Test platform vulnerabilities without permission;
  • Manipulate recommendations, analytics, reviews, attribution, or shopping activity;
  • Use Knotch outputs to train a competing model, styling engine, recommendation system, or commercial dataset without written authorization;
  • Resell or commercially exploit the Services; or
  • Use Knotch in a way that interferes with other users or the platform.

We may investigate suspected violations and take reasonable action, including removing content, limiting features, suspending accounts, or terminating access.

10. Community and Social Features

Knotch may offer sharing, voting, commenting, following, leaderboard, friend, or community features.

Where available:

  • You control whether to participate, subject to available settings;
  • Shared content may be seen, copied, reshared, or captured by others;
  • Public scores or rankings may change;
  • Votes and reactions may reflect personal opinions;
  • We may moderate or remove content; and
  • We do not guarantee that all content will be reviewed before publication.

You may not use social features to bully, shame, sexualize, threaten, or target another user.

Knotch may modify or remove leaderboards or competitive features when reasonably necessary to support safety, fairness, or product quality.

11. Product Recommendations and Retailer Information

Knotch may display products provided by third-party retailers, marketplaces, catalog providers, or commerce platforms.

Retailer information may include:

  • Product names;
  • Images;
  • Descriptions;
  • Prices;
  • Sizes;
  • Colors;
  • Inventory;
  • Shipping information;
  • Seller identity; and
  • Checkout links.

This information may be supplied by third parties and may be incomplete, delayed, or inaccurate.

Knotch does not guarantee:

  • Product availability;
  • Inventory;
  • Price;
  • Sizing accuracy;
  • Fabric quality;
  • Color accuracy;
  • Merchant performance;
  • Shipping dates;
  • Return eligibility;
  • Authenticity;
  • Product safety; or
  • That a product will fit or meet your expectations.

You should confirm material details on the retailer's website before purchasing.

12. Third-Party Purchases

Unless Knotch expressly identifies itself as the seller, products displayed through the Services are sold by independent third-party retailers.

Your purchase may be governed by the retailer's:

  • Terms;
  • Privacy policy;
  • Shipping policy;
  • Return policy;
  • Warranty;
  • Payment terms; and
  • Customer-service procedures.

Knotch is not responsible for a retailer's products, conduct, inventory, fulfillment, returns, refunds, warranties, statements, or data practices.

Disputes involving a retailer purchase generally must be resolved with the applicable retailer, though Knotch may provide reasonable assistance when appropriate.

13. Affiliate Relationships and Revenue

Knotch may receive commissions, referral fees, attribution fees, revenue shares, or other compensation when users view, click, save, or purchase products through the Services.

Compensation does not guarantee favorable placement or a particular recommendation. However, commercial relationships may affect which products are available for consideration because Knotch cannot recommend products it cannot access through its catalogs or partners.

Sponsored or paid placements will be identified where required by applicable law.

14. Subscriptions and Paid Features

Knotch may offer free and paid plans.

Before you purchase a subscription, we will present material terms such as:

  • Price;
  • Billing frequency;
  • Included features;
  • Trial terms, if any;
  • Whether the subscription renews automatically; and
  • How to cancel.

By purchasing a recurring subscription, you authorize us and our payment provider to charge the applicable payment method at the disclosed interval until cancellation.

Automatic renewal

Unless otherwise stated at checkout, paid subscriptions automatically renew at the end of each billing period.

Cancellation

You may cancel through the account or billing method made available to you. Cancellation stops future renewals but generally does not retroactively refund amounts already charged, except where required by law or expressly stated in our refund policy.

Price changes

We may change subscription pricing by giving advance notice as required by law. A price change will ordinarily take effect in a future billing cycle rather than retroactively.

Taxes

Prices may exclude applicable taxes. You are responsible for taxes associated with your purchase unless the law requires us to collect them.

Payment processing

Payments may be processed by a third-party provider. Knotch may not directly receive or store complete payment-card details.

15. Promotions, Referrals, and Lifetime Access

Knotch may offer promotional pricing, referral rewards, complimentary access, beta access, or “lifetime” access.

Unless the applicable offer expressly states otherwise:

  • Promotions may be limited by time, user, geography, or eligibility;
  • Rewards have no cash value;
  • Fraudulent referrals may be disqualified;
  • Benefits may not be transferred;
  • “Lifetime access” means access for the commercial life of the applicable Knotch product or feature, not the lifetime of the user or Company;
  • Features included in a plan may evolve; and
  • We may end a promotion prospectively, subject to commitments already made and applicable law.

Specific promotional terms presented with an offer will control if they conflict with this section.

16. Beta and Experimental Features

Some Knotch features may be labeled beta, preview, early access, experimental, or similar.

These features may:

  • Be incomplete;
  • Contain errors;
  • Change without notice;
  • Produce unreliable results;
  • Have limited support;
  • Lose or reset data; or
  • Be discontinued.

You use experimental features at your discretion. Do not rely on them for critical decisions or as your only storage location for important information.

17. Intellectual Property

The Services and all related intellectual property are owned by or licensed to It's Kyla Not Kayla LLC.

This includes, where legally protectable:

  • The Knotch name and branding;
  • Knotch Score™;
  • Software;
  • Source and object code;
  • Interfaces;
  • Product design;
  • Text;
  • Graphics;
  • Icons;
  • Recommendation frameworks;
  • Scoring methodologies;
  • Databases;
  • Taxonomies;
  • Selection and arrangement of content; and
  • Original educational materials.

Subject to these Terms, we grant you a limited, personal, nonexclusive, nontransferable, revocable license to access and use the Services for your own lawful, noncommercial purposes.

No rights are granted except those expressly stated.

18. Copyright Complaints

Knotch respects intellectual-property rights.

A copyright owner or authorized representative may send a notice identifying allegedly infringing content and providing sufficient information for us to locate and evaluate it.

Send notices to: It's Kyla Not Kayla LLC, Attn: Copyright Matters, 260 East Main Street, Suite 6000, Rochester, NY 14604. Email: hello@closetos.app

19. Privacy

Our collection and use of personal information are described in the Knotch Privacy Policy.

The Privacy Policy is incorporated into these Terms by reference. In the event of an inconsistency about personal-data practices, the Privacy Policy governs unless applicable law requires otherwise.

20. Third-Party Services and Links

The Services may integrate with or link to third-party services such as:

  • Retailer websites;
  • Shopify or other commerce platforms;
  • Payment processors;
  • Authentication providers;
  • Analytics tools;
  • Social networks;
  • Cloud-storage providers; and
  • Email or messaging services.

We do not control third-party services and are not responsible for their availability, content, security, accessibility, terms, or privacy practices.

Your use of a third-party service is governed by your agreement with that provider.

21. Service Availability and Changes

We aim to provide a useful and reliable service, but we do not guarantee uninterrupted access.

Knotch may be unavailable because of:

  • Maintenance;
  • Updates;
  • Technical errors;
  • Hosting failures;
  • Third-party outages;
  • Security incidents;
  • Legal requirements; or
  • Events beyond our reasonable control.

We may change the design, functionality, supported devices, integrations, recommendation logic, or availability of features.

Where required, we will provide notice of material changes affecting paid subscriptions.

22. Account Suspension and Termination

You may stop using Knotch at any time and may request account deletion through available settings or by contacting us.

We may suspend, restrict, or terminate access when we reasonably believe that:

  • You violated these Terms;
  • Your account creates a security or legal risk;
  • Payment is overdue;
  • You used the Services fraudulently or abusively;
  • Continued access could harm another person or the platform; or
  • We are required to do so by law.

Where appropriate, we may provide notice and an opportunity to address the issue.

After termination:

  • Your right to use the Services ends;
  • Certain User Content may be deleted or de-identified;
  • Information may be retained as described in the Privacy Policy; and
  • Provisions that logically should survive will remain effective.

23. Disclaimers

To the fullest extent permitted by law, the Services are provided “as is” and “as available.”

Knotch disclaims implied warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, and uninterrupted availability.

We do not warrant that:

  • The Services will always be available, secure, or error-free;
  • All AI outputs will be correct;
  • Recommendations will achieve a particular appearance or result;
  • Products will fit or remain available;
  • Uploaded content will never be lost;
  • All harmful conduct will be prevented; or
  • Defects will always be corrected.

Some jurisdictions do not allow certain warranty disclaimers, so portions of this section may not apply to you.

24. Limitation of Liability

To the fullest extent permitted by law, It's Kyla Not Kayla LLC and its owners, officers, employees, contractors, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, opportunity, or business interruption arising from or related to the Services.

Except where prohibited by law, the Company's aggregate liability arising from the Services will not exceed the greater of:

  • The amount you paid directly to Knotch during the twelve months before the event giving rise to the claim; or
  • One hundred U.S. dollars ($100).

These limitations apply regardless of the legal theory and even if a remedy fails of its essential purpose.

Nothing in these Terms limits liability that cannot legally be excluded or limited.

25. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless It's Kyla Not Kayla LLC and its owners, officers, employees, contractors, and affiliates from claims, damages, liabilities, losses, and reasonable legal expenses arising from:

  • Your unlawful use of the Services;
  • Your User Content;
  • Your violation of these Terms;
  • Your infringement of another person's rights; or
  • Fraudulent or abusive activity conducted through your account.

This provision does not require you to indemnify Knotch for its own unlawful conduct or negligence where such a requirement is prohibited.

26. Dispute Resolution

Informal resolution

Before filing a formal claim, you and Knotch agree to attempt in good faith to resolve the dispute informally.

The party raising the dispute must send written notice describing:

  • The claimant's name and contact information;
  • The account involved;
  • The nature of the dispute; and
  • The requested resolution.

Notices to Knotch should be sent to hello@closetos.app with the subject line “Legal Dispute Notice.”

The parties will have 30 days after receipt to attempt resolution, unless urgent injunctive relief is reasonably necessary.

Courts and venue

Unless the parties separately agree to arbitration, claims arising from these Terms or the Services will be governed by New York law, without regard to conflict-of-law principles, and brought in a state or federal court with jurisdiction over Rochester, Monroe County, New York.

You and Knotch consent to personal jurisdiction and venue in those courts, except where consumer law gives you a nonwaivable right to bring a claim elsewhere.

Small claims

Either party may bring an eligible individual claim in small claims court.

27. Governing Law

These Terms are governed by the laws of the State of New York and applicable federal law, without regard to choice-of-law rules.

Mandatory consumer protections in your place of residence continue to apply when they cannot legally be waived.

28. Changes to These Terms

We may update these Terms as the Services, business model, or legal requirements change.

We will post the revised Terms and update the Effective Date.

For material changes, we may also provide notice through the Services or by email. Where legally required, we will request renewed acceptance.

Continued use after the effective date of revised Terms constitutes acceptance where permitted by law.

29. Electronic Communications

You consent to receive agreements, notices, disclosures, receipts, and other service communications electronically, including by email or through the Services.

You are responsible for keeping your contact information current.

Marketing communications are separate from essential account or transaction messages, and you may unsubscribe from marketing emails using the provided method.

30. SMS & Mobile Information

By requesting a sign-in code, you agree to receive an automated transactional text message from Knotch at the mobile number you provide. This message will contain a verification code used to access your account.

If you separately select the marketing consent checkbox, you agree to receive recurring automated marketing text messages from Knotch, operated by It's Kyla Not Kayla LLC. Messages may include style tips, product updates, special offers, and other promotional content. Message frequency varies, up to 4 messages per month. Message and data rates may apply.

Consent to marketing messages is not a condition of purchase. You may opt out at any time by replying STOP. After opting out, you may receive one final message confirming your unsubscribe request. Reply HELP for help or contact kyla@itskylanotkayla.com. Wireless carriers are not liable for delayed or undelivered messages.

31. General Provisions

Entire agreement

These Terms, the Privacy Policy, and any additional terms displayed for a particular feature or promotion form the entire agreement concerning the Services.

Order of priority

Feature-specific or purchase-specific terms control over these general Terms only with respect to that feature or transaction.

Severability

If any provision is found unenforceable, it will be modified to the minimum extent necessary or severed, while the remaining provisions remain effective.

No waiver

Failure to enforce a provision is not a waiver of the right to enforce it later.

Assignment

You may not assign these Terms without our written consent. We may assign them as part of a merger, acquisition, financing, restructuring, asset transfer, or transfer of the Knotch business, subject to applicable law.

No partnership

These Terms do not create an employment, agency, partnership, fiduciary, franchise, or joint-venture relationship between you and Knotch.

Force majeure

We are not responsible for delay or failure caused by events beyond our reasonable control.

Headings

Headings are included for convenience and do not affect interpretation.
